These Terms and Conditions ("Terms") govern your access to and use of weighz.com (the "Site") and your purchase or use of the Weighz weighbridge management software ("Software"), provided by Soumya Technologies ("Company," "we," "us"), a business registered in Mumbai, Maharashtra, India. By accessing the Site or purchasing a license, you agree to be bound by these Terms.
1. Description of Service
Weighz is a desktop weighbridge software available in multiple editions offering weigh-only, inbound/outbound, multi-step, and customizable workflows. The Software is licensed, not sold, and is delivered electronically via a downloadable installer and a unique license key.
2. Eligibility and Accounts
You must be at least 18 years old and authorized to bind your business to purchase a license. Information you provide during purchase (name, company, billing details, contact information) must be accurate and current.
3. Orders, Pricing, and Payment
- Prices for each Weighz edition will be provided via quotation/invoice and are stated in the applicable currency (INR, USD, AED, or other currencies as offered).
- Payments are processed through third-party payment gateways (including Razorpay and/or PayPal). We do not store your full payment card details; all payment data is handled per the gateway's own security standards.
- All prices exclude applicable taxes (GST, VAT, or similar), which will be added at checkout or invoicing where legally required.
- Orders are confirmed and a license key is issued only after successful payment confirmation from the payment gateway.
Payment Security: Soumya Technologies adheres to strict industry compliance standards. Payment transactions are processed exclusively through PCI-DSS Level 1 certified gateways over encrypted TLS connections.
4. License Grant
Purchase of a Weighz license does not transfer ownership of the Software. Your use of the Software is governed by the separate End-User License Agreement (EULA), provided at the time of installation/activation and available upon request. The EULA sets out license scope, restrictions (including anti-reverse-engineering and anti-replication clauses), hardware integration disclaimers, legal metrology responsibilities, and data/security obligations. In the event of any conflict between these Terms and the EULA regarding license use, the EULA governs.
5. Delivery
As Weighz is a digital product, "delivery" occurs upon issuance of your license key and provision of the installer/download link, typically within 5 business days of confirmed payment. No physical shipping is involved.
6. Refunds and Cancellations
All refund and cancellation requests are governed by our separate Refund & Cancellation Policy, which is incorporated into these Terms by reference.
7. Customer Responsibilities
You are responsible for:
- Ensuring your hardware (weighing indicators, COM/network infrastructure, computer) is compatible and properly installed, per our EULA's hardware disclaimer.
- Legal metrology compliance, calibration, and certification of your weighing equipment for any commercial/trade use, as required by your local government authority.
- Securing your local database, computer, and network environment, and maintaining regular backups.
- Safeguarding your license key and not sharing, transferring, or reselling it without our written consent.
8. Support and Updates
Support is provided via email at support@weighz.com. Support scope, response times, and whether software updates are included depend on your purchased edition and any active maintenance/support plan, as communicated at the time of sale.
9. Intellectual Property
All rights, title, and interest in the Software, its source code, database structure, user interface, branding, and documentation remain the exclusive property of Soumya Technologies, as further detailed in the EULA. Nothing in these Terms grants you any ownership rights beyond the limited license described in the EULA.
10. Disclaimer of Warranties
THE SOFTWARE AND SITE ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT, EXCEPT AS EXPRESSLY STATED IN OUR EULA.
11. Limitation of Liability
To the maximum extent permitted by law, Soumya Technologies' total liability arising from these Terms, the Site, or the Software shall not exceed the actual license fees paid by you for the specific license giving rise to the claim, consistent with the limitation of liability terms in our EULA. We are not liable for indirect, incidental, or consequential damages, including business losses, billing/transaction errors, or regulatory fines arising from uncalibrated equipment or hardware malfunctions.
12. International Use and Export Compliance
Weighz is offered to customers internationally, including in the UAE, GCC region, and Western markets. You are responsible for ensuring your use of the Software complies with local laws, import regulations, data protection laws, and industry/trade certification requirements applicable in your jurisdiction.
13. Termination
We may suspend or terminate your access to support, updates, or licensing services if you breach these Terms or the EULA, including unauthorized copying, license key sharing, or reverse engineering. Termination provisions in the EULA govern the underlying software license.
14. Dispute Resolution and Governing Law
These Terms are governed by the laws of the Republic of India and the State of Maharashtra. Any disputes shall be subject to the exclusive jurisdiction of the courts in Mumbai, Maharashtra, India. We encourage customers to first contact support@weighz.com to resolve disputes informally before pursuing formal legal action.
15. Changes to These Terms
We may revise these Terms from time to time. Updated Terms will be posted on this page with a revised "Last Updated" date. Continued use of the Site or Software after changes constitutes your acceptance of the revised Terms.
